Terms of Service

1. Introduction

Welcome to RiskTech. We are committed to providing you with a secure, reliable, and innovative platform for governance, risk, and compliance management. By accessing or using RiskTech (the “Service”), you agree to comply with these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use the Service. We may update or modify these terms at any time, and your continued use after such changes constitutes acceptance of the new terms.

2. Definitions

• “Service” means the RiskTech platform and any related features.
• “User” or “you” refers to any individual or entity using the Service.
• “Content” includes all text, graphics, and data you upload or generate.

3. Service Access

The risktech.asia website is a public marketing site and requires no account. Access to the RiskTech platform is granted under a separate agreement between RiskTech and the customer organisation; that agreement defines which modules and features are included.

We strive to keep the Service available, but unscheduled downtime may occur. You agree not to attempt unauthorized access to any portion of the Service.

• RiskTech grants you a limited, non-exclusive, non-transferable right to access the Service.
• We reserve the right to modify, suspend, or discontinue the Service at any time.

4. Account Responsibilities

The website has no sign-up or sign-in. This section applies to RiskTech platform accounts issued under a contract.

Where an account is issued to you, you agree to provide accurate and complete information, you are responsible for all activity under your account, and you must protect your password and not share it. If you learn of any unauthorized access, you must notify us immediately.

• You are responsible for maintaining the confidentiality of your credentials.
• You must notify us immediately of any unauthorized use of your account.

5. Fees & Billing

The website sells nothing, charges nothing and processes no payments. Booking a demo through the form on this site is free and creates no financial obligation.

Fees for the RiskTech platform, billing periods and renewal terms are set out in the separate contract or quotation signed with the customer organisation, denominated in Vietnamese dong unless otherwise agreed. Any change in fees follows that contract.

• The website collects no card details, bank account details or any other payment data.
• There is no auto-renewing trial and no online paid sign-up on the website.

6. License & Intellectual Property

We and our licensors retain all rights, titles, and interests in and to the Service. You receive only the limited rights expressly granted under these Terms. Unless explicitly stated, nothing in these Terms gives you a right to use our trademarks, logos, or other brand features. Any code or APIs you access remain our confidential property. You agree not to reverse engineer, decompile, or otherwise attempt to derive the source code.

• All intellectual property rights in the Service belong to RiskTech or its licensors.
• You may not reproduce, distribute, or create derivative works from our software.

7. Confidentiality

During the course of our relationship, you may share sensitive data with us, and we may share confidential business information with you. Both parties agree to protect such information with at least the same degree of care that each uses for its own confidential information. Confidential information does not include information that is publicly known or rightfully received from a third party. This obligation survives termination of these Terms. You may disclose only to employees or contractors with a need to know, and who are bound by similar confidentiality obligations.

• Each party agrees to keep confidential any non-public information disclosed by the other.
• Confidential information shall not include public domain data or information independently developed.

8. Indemnification

If any third party brings a claim against us arising from your actions or breach of these Terms, you will defend and indemnify RiskTech. This includes all reasonable legal fees and expenses. We will promptly notify you of any such claim. You may control the defense and settlement, provided you secure our written consent for any material settlement. Failure to participate in good faith may relieve us of our indemnification obligations.

• You agree to indemnify and hold RiskTech harmless from any claims arising out of your use of the Service.
• This includes any violation of these terms or infringement of rights.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RISKTECH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU AGREE THAT YOUR USE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY RISKTECH SHALL CREATE ANY WARRANTY.

10. Limitation of Liability

IN NO EVENT WILL RISKTECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS. OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID IN THE PRIOR 12 MONTHS. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OR EXCLUSIONS OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU. THIS SECTION SURVIVES TERMINATION OF THESE TERMS. PLEASE REVIEW THEM CAREFULLY.

11. Termination

We may suspend or terminate your access at any time if you breach these Terms. Upon termination, your right to use the Service immediately ends. You remain responsible for any outstanding fees. Termination does not affect our rights or remedies under these Terms. Sections on Fees, License, Confidentiality, Indemnification, and Limitation survive any termination.

12. Governing Law

These Terms are governed by the laws of Vietnam. Disputes are first addressed through negotiation; failing that, they are submitted to the competent People's Court in Ho Chi Minh City.

If any provision is found unenforceable, the remainder stays in effect.

13. Changes to Terms

We may modify these Terms at our discretion and will post the updated version on our website. Substantial changes will be communicated via email or an in-app notification. Your continued use after changes indicates acceptance. If you do not agree, you must stop using the Service. It is your responsibility to review these Terms periodically.
